| dc.description.abstract | Çalışmamızda, hem halka kapalı hem de halka açık anonim ortaklıklar bakımından, kayıtlı sermaye sisteminin temel yapısı ve anılan sistemde yönetim kuruluna tanınabilecek yetkilerin kapsamı incelenmektedir. Bu kapsamda özellikle sermaye artırım yetkisi ile bağlantılı olan; imtiyazlı pay çıkarma yetkisi, itibarî değerin üzerinde veya altında pay çıkarma yetkisi, imtiyazlı pay sahiplerinin haklarını kısıtlama yetkisi ve yeni pay alma haklarını sınırlandırma yetkilerine değinilmektedir. | tr_TR |
| dc.description.ozet | The purpose of this study is to examine the general structure of registered capital system and the scope of authorities which can be delegated to the board of directors in this system. Within this context, the study focused on both public and non-public companies. The basic function of the registered capital system is the delegation of the authority to increase the capital to board of directors. In this regard, the system grants the board of directors to increase the capital differently from share capital system where the general board is authorized. In our study, in particular, the authorities related with the authority to increase the capital are analyzed. These are follows: authority to issue preferred shares, authority to issue above/below par value shares, authority to restrict the rights of preferred shareholders and authority to restrict pre-emptive rights. | tr_TR |
